Terms of Service
Agreement to Terms
These Terms of Service (“Terms”) govern quotes, orders, and manufacturing services provided by Mountain Machine Works, Inc. (“Mountain Machine Works,” “we,” “us,” or “our”) to customers (“you” or “customer”). By requesting a quote, placing an order, or otherwise engaging Mountain Machine Works for custom machining and manufacturing services, you agree to these Terms.
Services
Mountain Machine Works provides custom machining and manufacturing services, including CNC machining, precision machining, large-part machining, contract manufacturing, prototyping, fabrication, welding, and production machining, based on drawings and specifications supplied by the customer.
Customer Drawings and Specifications
Customers are responsible for providing accurate and complete drawings, specifications, and requirements for each part or project. Mountain Machine Works manufactures parts based on the information provided and is not responsible for errors, omissions, or defects resulting from inaccurate or incomplete customer-supplied drawings or specifications.
Quotes and Estimates
Quotes and estimates are based on the information available at the time they are prepared. Quotes may change if drawings, specifications, quantities, materials, or requirements change after a quote is issued. Quotes are valid for the period stated at the time they are provided, or otherwise for a reasonable period unless withdrawn or updated.
Prototypes and Production Orders
Prototype parts may be produced to support design validation and testing prior to a production order. Production orders are manufactured according to the specifications and quantities agreed upon between Mountain Machine Works and the customer.
Project Agreements
Where applicable, a specific project may be governed by an additional written agreement, purchase order, or statement of work between Mountain Machine Works and the customer. In the event of a conflict between these Terms and a signed project agreement, the project agreement will control for that project.
Payment
Payment for services is invoice-based unless otherwise agreed in writing. Where applicable, projects may require a deposit or milestone payments, which will be identified in the applicable quote, invoice, or project agreement. Invoices are due according to the payment terms stated on the invoice.
Customer-Requested Changes
Changes requested by the customer after work has begun — including changes to drawings, specifications, materials, or quantities — may affect pricing, scheduling, and delivery, and may require a revised quote or change order.
Materials
Where materials are supplied by Mountain Machine Works, they will be sourced according to the specifications provided by the customer. Where materials are supplied by the customer, the customer is responsible for ensuring the material is suitable and accurately identified for the intended part.
Production Scheduling
Production scheduling is based on shop capacity, order volume, and the requirements of each project at the time an order is placed. Timelines discussed with a customer are estimates and are not guaranteed delivery dates unless expressly agreed in writing.
Cancellations
Orders may be cancelled by the customer prior to the start of production, subject to any costs already incurred by Mountain Machine Works for materials, programming, or setup. Cancellation of an order after production has begun may result in charges for work completed and materials committed to the order.
Inspection and Acceptance
Customers are responsible for inspecting delivered parts against their own drawings and specifications upon receipt. Any concerns about a delivered part should be reported to Mountain Machine Works promptly so they can be reviewed.
Shipping and Delivery
Where applicable, shipping and delivery arrangements, costs, and responsibility for parts in transit will be discussed and agreed upon as part of the applicable quote or order.
Intellectual Property and Customer-Supplied Drawings
Drawings, specifications, and designs supplied by the customer remain the property of the customer. Mountain Machine Works will use customer-supplied drawings and specifications solely for the purpose of quoting, manufacturing, and fulfilling the customer’s order, and will not use them for any other purpose without the customer’s permission.
Warranties
Mountain Machine Works provides warranties only where expressly stated in writing for a specific order or project agreement. Except as expressly provided in writing, services and parts are provided without additional warranties, express or implied.
Limitation of Liability
To the extent permitted by applicable law, Mountain Machine Works’ liability for any claim arising from its services is limited to the amount paid by the customer for the specific part or order giving rise to the claim. Mountain Machine Works is not liable for indirect, incidental, or consequential damages arising from its services.
Governing Law
These Terms and any services provided by Mountain Machine Works, Inc. are governed by the laws of the State of Maine, without regard to its conflict of laws principles.
Changes to These Terms
We may update these Terms from time to time. Any changes will be posted on this page with an updated revision date. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
